As Company Secretarial Assistant you will assist the Company Secretarial function in providing a full governance and company secretarial service to Legal & General Investment Management (Holdings) Ltd and its subsidiaries. 

The key responsibilities for the role will include:

Supporting the Company Secretarial function to deliver first class governance and company secretarial support to the LGIM(H) Group, ensuring compliance with regulatory and statutory obligations and that all board procedures and guidelines are followed.

Providing board support to the LGIM Company Secretarial team including but not limited to: Board/Committee meeting preparation and organisation; meeting scheduling; drafting agendas, skeleton minutes and action schedules; requesting and collating board/committee papers and preparing packs for upload to Diligent.


Supporting the Company Secretarial function to deliver an annual calendar of company secretarial activity, including but not limited to conflicts of interest annual reviews, subsidiary accounts preparation and sign off; annual governance reviews and director training.

Assisting the LGIM Company Secretary and Head of Secretariat in executing strategic governance projects and the on-going improvements to governance standards across the LGIM(H) Group.

Supporting the company secretarial function to ensure that the LGIM(H) Group maintains an appropriate governance framework including maintaining appropriate delegated authorities, Committee Terms of Reference and Matters Reserved for the Boards. 

Board meeting support: Assisting the team in ensuring that a full meeting support service is provided to the LGIM(H) Board, its operational subsidiaries and Committees including:

Meeting preparation, including drafting meeting agendas in conjunction with Assistant Company Secretaries and Chairs

Drafting skeleton minutes with a view to minuting Committees;preparing matters arising schedules;

Sending reminders for papers and collating papers as they are submitted;

Filing and maintaining minute books; organising ad-hoc Board and Committee meetings as required; and preparing the annual Board and Committee meeting schedule, obtaining availability and sending diary invites.

Statutory Compliance: To the extent not provided by external providers, provide company secretarial compliance services in relation to the UK subsidiaries of LGIM(H) to maintain all UK subsidiary companies in good standing and fully compliant with current Companies Act legislation including but not limited to:

Assisting with the appointment and induction process for new directors;
Ensuring all statutory records on Blueprint are maintained and all filings are made with the Registrar of Companies within the relevant time frames;
Reviewing and approving all documents prepared by Link prior to filing;
Assisting with co-ordinating the year end subsidiary accounts approval process;
Arranging for approval and sealing of contracts, drafting associated resolutions and maintaining records for subsidiary Boards;
Drafting routine minutes e.g. for approval of subsidiary dividends; and
Ensuring that the companies are in full compliance with their obligations under the Companies Acting and other regulations where relevant.

Following, and where appropriate updating and issuing, departmental and business-wide procedures and controls for the company secretarial function that reflect best practice and/or mitigate business risks.

Working with the company secretarial function to deliver improvements to the governance standards across the LGIM(H) Group.

Excellent organisation skills. Experience and ability to prioritise a busy workload, to meet deadlines and to be flexible in a continuously changing environment. Understanding governance processes and inter-relationships between different stakeholders.

 

 

You could be ICSA qualified/part-qualified or with a relevant degree and experience - what's important is that you are committed to undertaking training to qualify as a Chartered Secretary.

Along with excellent organisation skills and the ability to prioritise a busy workload, you need to be able to meet deadlines and be flexible in a continuously changing environment. Understanding governance processes and inter-relationships between different stakeholders will also be key.

Ideally you'll have experience in the financial services sector and or real estate sectors plus  knowledge of the Companies Act 2006 and UK Corporate Governance Code desirable and if this is gained through experience  of working in a company secretarial or legal role, so much the better.
