A great opportunity for a qualified lawyer to join the team here in London. The role is to provide legal assistance on a wide range of legal issues that may affect the LGIM business, predominantly relating to the distribution of regulated funds and the negotiation of investment management agreements (IMAs) for European clients. 

Principal Accountabilities

To provide legal advice on the legal issues which arise in the course of LGIM’s investment management activities and the global marketing and distribution of funds, including:

  • advising on and negotiating IMAs and transition management agreements for large institutional investors such as pension schemes and investment funds, particularly for European clients;
  • amending and restating existing client IMAs to reflect changes in industry practice and regulation to match latest templates and agreeing those with clients;
  • being the legal representative to stakeholders within the business relating to client onboarding and distribution;
  • drafting, negotiating and amending client-facing, from high value to template, agreements (e.g. distribution agreements and fee agreements, etc), particularly for European clients;
  • drafting, negotiating and amending service provider contracts relating to the marketing and distribution of the funds;
  • providing assistance and legal support to LGIM’s European offices, particularly in relation to the distribution of the LGIM business’s products and services;
  • providing assistance to the business and instructing external counsel, particularly in relation to the expansion of the business in new jurisdictions and markets;
  • advising all departments (e.g. fund managers, operations, finance and sales) on the legal risks arising in the business and recommending appropriate courses of action and  strategies to manage those risks; and
  • monitoring legal developments and other events which are likely to have legal implications for the LGIM business and assist in developing strategies for LGIM companies to adopt in the light of them.

Essential

  • Current Practising Certificate or overseas equivalent  
  • Experience in negotiating and reviewing commercial agreements
  • Confident negotiating terms with clients/their external counsel
  • Excellent interpersonal and communication skills to communicate in an effective and persuasive manner
  • Comfortable dealing at all levels of personnel within the organisation (including senior management)
  • Proactive and shows initiative with the ability to run with projects, with little supervision
  • Commercial acumen/ability to assess legal risk

Desirable

  • Fluent in one or more European language other than English
  • Experience negotiating investment management agreements
  • Experience negotiating distribution and other client-facing agreements
  • A basic understanding of financial services and funds regulation e.g. MiFID II, EMIR, UCITS Directive and AIFMD
  • A basic understanding of derivatives; the team has derivative experts

About the business area

Headed by Paul Sweeney as LGIM General Counsel, the London-based LGIM Legal team has a permanent headcount of 18 lawyers (two of which are based in the Dublin office), two paralegals and a legal admin assistant. LGIM Legal has a strong, longstanding relationship with the LGIM business. With very little staff movement in past years; historically, opportunities to join the legal team have been rare. However, in this time of growth into Europe and internationally, there is potential for new lawyers to join.

LGIM Legal assists the LGIM business in its strategic aims whilst effectively managing legal risk in light of its business’ overall appetite for it, and as is appropriate for FCA, PRA and CBI authorised and regulated firms. The workload of LGIM Legal is diverse and areas of relevant law include: pensions, insurance, financial services/funds law and regulation, contract, trust and company/corporate.

Given the size of the firm LGIM Legal is relatively small, and as the management structure of both the team and the LGIM business as a whole is relatively flat, team members have good access to senior management and are responsible for the management and delivery of their own workloads.
