GROUP

Participation in Group Legal & Governance projects that will improve governance standards and the provision of company secretarial services across the Group e.g. constitutional documents update, Blueprint and Board portal maintenance and management of the subsidiary governance framework.

To provide support and guidance to junior members of both the Group and UK Secretariat teams.e.g. this could involve providing mentoring support to members of the teams studying for their ICSA exams and offering guidance and encouragement to members of Board Support team in compiling and issuing Board packs and in engaging with the non-executive directors.

INSURANCE, RETIREMENT AND WORKPLACE SAVINGS

To provide board meeting support to LGAS, its operating subsidiaries and joint ventures, where appropriate, including:

1. Acting as Secretary to these Boards and Committees by preparing agendas, distributing Board packs, attending meetings and providing advice and guidance in respect of governance best practice;

2. Taking minutes of the meetings, drafting any resolutions, and following up on actions.

3. To monitor, review and advise where necessary on the application and compliance with LGAS business specific policies including: Conflicts of Interest and Confidentiality, Gifts and Hospitality and Personal Account Dealing.

4. Proactive involvement in projects including supporting the joint venture relationships entered into by the Insurance, Retirement, Workplace and Mature Savings businesses  and assisting the  Insurance, Retirement, Workplace and Mature Savings teams in ensuring that the same high standards of governance adopted by the Group are cascaded to the subsidiary companies.

5. To manage the corporate structure for Insurance, Retirement, Workplace and Mature Savings businesses including supporting the Legal team in setting up new entities where required and assisting with the establishment of SPVs where necessary.

6. To assist with Group Legal & Governance projects covering all aspects related to the Insurance, Retirement, Workplace and Mature Savings businesses that will improve governance standards and the provision of company secretarial services across the Group e.g. constitutional document updates and legal entity rationalisation projects.

Regulatory/Legislation

Experience and understanding of the Company Secretarial function and corporate governance requirements.

Good knowledge of the Companies Act 2006 and UK Corporate Governance Code.

Some relevant regulatory knowledge, particularly with regard to Financial Services and what it means to be a Company Secretary in that environment.

Business/Commercial

An understanding of the Financial Services industry and/or Investment Management.

Ability to understand key stakeholders and sensitive to this and build own internal networks.

Ability to learn and maintain general knowledge of all businesses within the Group.

Professional Knowledge and Qualification

Qualified Company Secretary with at least 2 years’ experience working in a FTSE or Financial Services/Investment Management secretariat.

Attention to detail essential.

Project management experience and experience of working in multi-disciplinary teams will be an advantage.

Highly organised, thorough, demonstrating excellent attention to detail and a proactive, flexible approach.

Personable, discreet, confident, articulate and able to establish strong relationships with individuals at all levels of seniority.

Understanding of directors’ role and responsibilities.

Experience of attending and minuting Board and Committee meetings.

Systems and IT Knowledge

Experience of entity management software - Blueprint. Proficient in Word, PowerPoint, Excel and Outlook.

Good IT knowledge and experience, particularly the Microsoft Office suite, with the ability to get up to speed on anything new.

Familiarity with board paper portals and/or legal entity management systems, particularly BoardPad and Blueprint, would be advantageous.

Relationship Management

Actively, constructively and proactively assist the Head of Secretariat with the provision of company secretarial administration in order to achieve business objectives effectively.

Forms a good working relationship with key individuals within Legal & Governance team, the Group functions and other stakeholders; collaborative and willing to assist colleagues.

Comfortable dealing at all levels of the organisation.
